Welcome to Helpy AI ("we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of our software-as-a-service (SaaS) platform, available at https://helpy.ai, including any associated services, applications, and APIs (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility

To use Helpy AI, you must:

• Be at least 18 years old.

• Have the legal authority to enter into a binding agreement.

• Use the Service in compliance with all applicable laws in the Kingdom of Saudi Arabia and internationally.

2. Account Registration and Access

You may need to create an account to access the Service. By registering, you agree to:

• Provide accurate, current, and complete information.

• Keep your login credentials secure.

• Be responsible for all activities under your account.

We reserve the right to suspend or terminate your account if we detect misuse, unauthorized activity, or security concerns.

3. Third-Party Integrations

Our platform integrates with third-party APIs and platforms (e.g., Facebook, Instagram, Google, LinkedIn, TikTok, X/Twitter).

By connecting these services, you:

• Grant Helpy AI permission to access and use your data in accordance with the specific scopes you authorize during the OAuth process.

• Agree to comply with the terms, privacy policies, and developer rules of each connected platform.

• Acknowledge that third-party platforms may change or revoke API access at any time, which may affect Service functionality.

If you wish to revoke third-party access, you may:

• Disconnect the account in your Helpy AI dashboard.

• Revoke permissions directly from the connected platform’s security or app settings.

4. Subscriptions and Payments

• Subscription fees are billed according to your selected plan.

• All payments are charged in Saudi Riyals (SAR) and may be subject to VAT under Saudi tax laws.

• Fees are non-refundable unless explicitly stated otherwise.

• Subscriptions renew automatically unless cancelled before the next billing cycle.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations.

• Engage in fraud, impersonation, or harmful activities.

• Abuse, spam, or misuse third-party APIs.

• Attempt to gain unauthorized access to accounts, data, or systems.

We may investigate and take action against violations, including suspension or termination.

6. Intellectual Property

All content, trademarks, software code, and technology in the Service are the exclusive property of Helpy AI or its licensors.
You may not copy, modify, distribute, reverse-engineer, or create derivative works without written consent.

7. User Content and Data

• You retain ownership of content you create or submit.

• You grant Helpy AI a limited, non-exclusive license to store, process, and display your content solely to deliver the Service.

• We do not use your content for advertising or resale.

• For connected social media accounts, we only access and process data necessary for the functions you request.

8. Suspension and Termination

We may suspend or terminate your account if:

• You violate these Terms.

• You misuse the Service or integrations.

• You fail to pay subscription fees.

You may cancel your account at any time through your dashboard or by contacting hello@helpy.ai.

9. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind.
We do not guarantee:

• Uninterrupted or error-free operation.

• Accuracy or security of data.

• Continued availability of third-party API integrations.

10. Limitation of Liability

To the maximum extent allowed by law, Helpy AI is not liable for:

• Indirect, incidental, or consequential damages.

• Data loss or corruption.

• Loss of revenue or business opportunities.

Our total liability shall not exceed the amount paid by you in the three (3) months before the claim.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Kingdom of Saudi Arabia.
Disputes shall be resolved exclusively in the courts of Riyadh, Saudi Arabia.

12. Changes to These Terms

We may update these Terms from time to time. If material changes are made, we will notify you via email or an in-app notice.
Your continued use after updates means you accept the revised Terms.
